Terms of Service

Welcome to FlexiCommerce Nigeria ("FlexiCommerce", "we", "us", or "our"), a product of Ujjwal Technolabs. These Terms of Service ("Terms") govern your access to and use of our SaaS ecommerce platform available at ng.flexicommerce.store and all related services.

By purchasing any plan, accessing the admin dashboard, or using any part of the FlexiCommerce platform, you agree to be bound by these Terms. If you do not agree, please do not use our services.

FlexiCommerce is a Software as a Service (SaaS) ecommerce platform that provides:

• Ecommerce website with multiple industry themes
• Customer mobile application (iOS & Android)
• Admin dashboard for store management
• Seller/Vendor mobile application (Growth plan)
• Delivery partner mobile application (Growth plan)
• Integrated payment gateway (Paystack)
• Integrated shipping (Local couriers)
• Managed cloud hosting & infrastructure

You are granted a non-exclusive, non-transferable, revocable license to use the platform as a hosted service only. This means:

• No source code access — You will not receive, request, or attempt to obtain the source code of any part of the platform including website, apps, admin panel, or APIs.
• No reverse engineering — You shall not decompile, disassemble, reverse engineer, or attempt to derive the source code of any FlexiCommerce software.
• No code redistribution — You cannot copy, modify, distribute, sell, or sublicense any part of the platform.
• No self-hosting — The platform runs exclusively on FlexiCommerce managed infrastructure. You cannot request to host it on your own servers.
• API usage — You may use our documented public APIs for integrations, but you may not expose, scrape, or redistribute API responses in bulk.

All source code, algorithms, designs, architectures, database schemas, and proprietary technologies remain the exclusive intellectual property of Ujjwal Technolabs.

FlexiCommerce offers the following pricing structure:

• The setup fee is a one-time payment and covers platform deployment, configuration, theme setup, and initial launch.
• The monthly hosting fee covers managed cloud hosting, SSL certificate, backups, CDN, server maintenance, and platform updates.
• All payments are processed through Paystack in Nigerian Naira (NGN).
• 0% platform commission — We do not charge any commission on your sales. Only standard Paystack payment gateway fees apply (~1.5%).
• Hosting fees are billed monthly. Failure to pay hosting fees may result in temporary suspension of your store after a 7-day grace period.
• Prices are subject to change with 30 days prior notice for existing customers.

This policy exists because:

• Server resources, cloud infrastructure, and deployment are provisioned immediately upon payment.
• Development work, theme customization, and configuration begin within minutes of payment.
• Third-party service costs (hosting, SSL, CDN) are incurred immediately.
• Our automated deployment system sets up your complete store infrastructure instantly.

As a FlexiCommerce user, you agree to:

• Provide accurate business and contact information during registration.
• Use the platform only for lawful business purposes in compliance with Nigerian laws and regulations.
• Not sell prohibited, illegal, counterfeit, or restricted items through your store.
• Maintain the security of your admin dashboard credentials and not share access with unauthorized persons.
• Not attempt to overload, hack, or interfere with platform infrastructure.
• Not use the platform for phishing, fraud, scams, or any deceptive practices.
• Comply with all applicable VAT (7.5%), and ecommerce regulations in Nigeria.
• Not resell, white-label, or redistribute FlexiCommerce services without written authorization.

Your business data belongs to you:

• Your data — Product listings, customer data, order history, and business content you upload remain your property.
• Data export — You may request export of your business data (products, orders, customers) in standard formats via the admin dashboard.
• Platform data — Analytics, logs, system configurations, and platform-generated data remain property of FlexiCommerce.
• Data retention — Upon account termination, your data will be retained for 30 days and then permanently deleted.

• We strive for 99.9% uptime on all managed services.
• Scheduled maintenance will be communicated at least 24 hours in advance via email or WhatsApp.
• We are not liable for downtime caused by third-party services (Paystack, local couriers, cloud providers), force majeure, or factors beyond our control.
• Daily automated backups are performed. In case of data loss, we will restore from the most recent backup.

FlexiCommerce reserves the right to suspend or terminate your account if:

• Hosting fees remain unpaid beyond the 7-day grace period.
• You violate any of these Terms of Service.
• Your store is found selling prohibited or illegal items.
• You engage in fraudulent activities or abuse the platform.
• You attempt to reverse engineer, copy, or extract source code from the platform.

Upon suspension, your store will be taken offline. Upon termination, data will be retained for 30 days before permanent deletion. No refunds will be issued for suspended or terminated accounts.

• FlexiCommerce (Ujjwal Technolabs) shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the platform.
• Our total liability shall not exceed the amount paid by you in the last 3 months of service.
• We are not responsible for losses due to your business decisions, product quality, customer disputes, or operational errors.
• We are not liable for any actions of third-party services integrated with the platform (payment gateways, shipping providers, etc.).

• These Terms shall be governed by the laws of India.
• Any disputes shall be subject to the exclusive jurisdiction of courts in Indore, Madhya Pradesh, India.
• Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for at least 30 days.

We reserve the right to update these Terms at any time. Changes will be communicated via email and/or updated on this page. Continued use of the platform after changes constitutes acceptance of the revised Terms.
